#### Nature *of* Business

Oshima & Associates (the "Company, is a proprietorship of Haro!d Oshima, and Is registered with the Securftfes Exchange Commission ("SEC1, a member of the Flnanclal Industry Regulatory Authority (aFINRAa), and a member of the Securities Investor Protection Corporation ( 11SIPC-). The Company's brokerage activff¥ Is transacted on a fully disclosed basis through a clearing broker.

#### Revenue Recognition

Revenue from contracla wfth customers includes commission Income and dlstrlbutlon fees from mutual fund companies. The recagnltlan and measurement of revenue Is based on the assessntent of IndMdual contract terms. SlgnlflcantJudgment Is required to datermflae whether performance abllgatlons are satisfied at a point In tfme or over time; how to aUocate transaction prtces where nwltfple performance obllgations are Identified; when to recognize revenue based on the appropriate measure of the Company's progress under the contract: whether revenue should be presented gross or net of certain costs: and whether constraints on variable consideration should be applied due to uncertain future events.

The company buys and aella securities on behalf of Its customers. Each time a customer enters Into a buy or seo transaction, the Company charges a commission. Commissions and related clearing expenses are recolded on the trade date (lhe date that the Company fltrs the lrade order by finding and conlractfng with a counterparty and confirms the trade with the custamer). The Company believes that the performance ablfgatlon Is satlsfted on the trade date because that Is when the underlying financial fnstrument or purchaser Is ldenUfled, the prfclng Is agree upon and the risks and rewan:fs of ownership of the securities have been transferred ta/from the customer.

The Company enters into arrangements with managed accounts or other pooled Investment vehlcles (funds) to distribute shares to lnvestats. The Company may receive distribution fees paid by the fund up front. over time, upon the Investor's exit from the fund (that Is. a contingent deferred sales charge), or as a combination thereof. The Company balleves that Its performance obllgalfon Is the sale of securltJes to Investors and as such this Is fullUad on the trade date. Any fixed amounts me recognized on the trade date and variable amounts are reccgnlzed to the extent it is probable that a significant revenue reversal will not occur once the uncmtalnty is msolved. For variable amounts, as the uncertainty Is dependent on tha value of the shares at future paints In time as wall as the length of time the Investor remains In the fund, both ofwhfch are highly susceptible to factors ou1Bfde the Company's Influence. the Company does not believe that It can overcome this constraint untD the market value of the fund and the Investor activities are known. which are usually monthly or quarterly. Dlstrlbutlon fees recognized tn the current pmfcd are primarily related to performance obHgatlons that have been satisfied In prior periods. Professfonal raea are charges for tax preparation sesvlces and are recognized when atl performance obligations are satisfied.

#### Cash and Cssh Equivalents

For purp0888 of reporting the statement of cash flows, the Company consfde,s all cash accounts, which are not subject to withdrawal resbictlons or penalUes, and all hfghly ttqufd debt Instruments purchased with a maturity of three months or !e&& to be cash equivalents. Cash balances In excess of FDIC and sfmltar insurance coverage are subject to the usual banking risks associated with funds In excess of those limits. **As a** proprietorship, all Income of the Company Is taxed to Harold Oshima. Therefore. no provision is shown far federal or state Income taxes fn the flnancfal statements.

The Company has adopted the provisions of FASB AcCOunting standards Codification 740-10, Accounting for Uncertainty In Income Taxes. Under ASC 740-10, the Company is required to evaluate each of its tax posltfans to detennfne If the~ are mare likely than not to be austarned If the taxing authorlly examines the respective position. A tax position Includes an entn;s status. lncludlng Its status as a pass-through entity. and the dacisfon not to ffle a tax retum. The Company has evaluated each of tts tax positions and has detarmlned that no provision or llabitity for Income taxes Is necessary. #### Marketable Securities

Marketable securities are classified as available-for-sale and. accordingly, are reported at fair value with the unrealized gains or losses on these securities Included in gain or loss on securities.

# **Note 2-Net Capital Requirements**

The Company Is subject to the Securities and Exchange Commission's Uniform Net capital Rufe (Rute1503- 1 ), whlch requfres the maintenance of minimum net capltal at amounts equal to the greater of \$5,000 or 6 2/3% of aggregate Indebtedness, and requires that the ratio of aggregate Indebtedness to net capital not to exceed 15 to 1.

At. December 31, 2021. the Company had excess net capital of \$11,090 and a net capital ratio of 7.31 % to 1.

In determining fair value, the Company uses varfous valuation approaches. based on market data obtained from sources independent of the Company. Unobservable inputs reflect the Company's assumptions about the inputs market participants would use in pricing the asset or liability developed based on the best information available in the circumstance.

The fair value hierarchy is categorized into three levels based on inputs as follows: Level 1 - Quoted prices in active markets for Identical assets or liabilities. Level 2 - Inputs are inputs other than quoted prices included within Level 1 that are directly observable, such as quoted prices for similar instruments in active markets, or quoted prices for identical or similar instruments in inactive markets.

Level 3 - Inputs are unobservable in which little or no market data exists, therefore requiring an entity to develop its own assumptions, such as valuations derived from techniques in which one or more significant value drivers are observable.

The availability of valuation techniques and observable inputs can vary from security and is affected by a wide variety of factors including, the type of security, whether the security is new and not yet established in the marketplace, and other characteristics particular to the extent that valuation is based on models or inputs that are less observable or unobservable in the market, the determination of fair value requires more judgment. Those estimated values do not necessarily represent the amounts that may be ultimately realized due to the cocurrence of future circumstances that cannot be reasonably determined.

Because of the inherent uncertainty of valuation, those estimated values may be materially higher or lower than the values that would have been used had a ready market for the securities existed. Accordingly, the degree of judgment exercised by the Company in determining fair value is greatest for securities categorized In Level 3. In certain cases, the inputs used to measure fair value may fall into different levels of the fair value hierarchy. In such cases, for disclosure purposes, the later value hierarchy within writch the fair value measurement in its entirety falls is determined based on the lowest level input that is significant to the fair value measurement.

Fair value is a market-based measure considered from the perspective of a market participant rather than an entity-specific measure. Therefore, even when market assumptions are not readly available, the Company's own assumptions are set to reflect those that market participants would use in pricing the asset or liability at the measurement date. The Company uses prices and inputs that are current as of the measurement date, including periods of market dislocation. In periods of market dislocation, the observability of prices and inputs may be reduced for many securition could cause a security to be reciassified to a lower level within the fair value hierarchy.
