The Partnership has a deferred UBT income tax asset of approximately \$62,000 at December 31, 2020 related to the net operating loss carry forwards. A valuation allowance has been established offsetting the \$62,000, as the ultimate realization of these benefits is uncertain. The Partnership had net operating loss carry forwards of approximately \$1,543,000 as ofDecember 31, 2020 which begin to expire in 2031. The Partnership has <sup>a</sup> deferred UBT income tax asset of approximately \$62,000 at December 31, 2020 related to the net operating loss carry forwards. A valuation allowance hasbeen established offsetting the\$62,000, as the ultimate realization of these benefits is uncertain. The Partnership hadnet operating loss carry forwards of approximately \$1,543,000 as of December 31, 2020 which begin to expire in 2031.

At December 31, 2020, the Partnership had net capital of \$30,200, which was \$25,200 in excess ofits required net capital of \$5,000. The Partnership's net capital ratio was 1.66 to 1. The Partnership does not handle cash or securities on behalfof customers. Therefore, the Partnership is exempt from SEC Rule 15c 3—3. On November 1, 2012 the Partnership renewed its original lease term to commence on November 1, 2016 and end on October 31, 2021. The annual rent under the agreement is \$64,800. The lease agreement called for a security deposit in the amount of \$8,100, which will be returned at the end of the lease term. As such, it has been determined by the Company this is <sup>a</sup> lease under the provisions ofASC 842. On November 1, 2012 the Partnership renewed its original lease term to commence on November 1, 2016 and end on October 31, 2021. The annual rent under the agreement is \$64,800. The lease agreement called for a security deposit in the amount of \$8,100, which will be returned at the endof the lease term. As such, it has been determined by the Company this is alease under the provisions ofASC 842.

In early 2020, an outbreak of <sup>a</sup> novel strain of coronavirus (COVID-l9) emerged globally. As a result, there have been mandates from federal, state and local authorities resulting in an overall decline in economic activity. The government issued the CARES Act earmarking over \$600 million through the Paycheck Protection Program (PPP), administered by the Small Business Administration, for potentially forgivable loans to support eligible small businesses impacted by COVID—19. In early 2020,an outbreak of <sup>a</sup> novel strain of coronavirus (COVID-19) emerged globally. As a result, there havebeenmandates from federal, state and local authorities resulting in an overall decline in economic activity. During 2020, the Partnership applied for and received a PPP loan in the amount for \$17,600. The loan bears interest at <sup>a</sup> rate of 1% per annum and the maturity is May 1, 2022. As ofDecember 31, 2020, the Partnership determined that the loan shall be fully forgiven in accordance with its terms, therefore, such amount was considered as other income and was included in the statement of operations. On January 11,2021, the Partnership received the notification of the forgiveness ofthe loan and interest in full. During 2020, the Partnership applied for and received a PPP loan inthe amount for \$17,600. The loan bears interest at <sup>a</sup> rate of1% per annum and the maturity is May 1, 2022. As ofDecember 31, 2020, the Partnership determined that the loan shall be fully forgiven in accordance with its terms, therefore, such amount was considered as other income and was included in the statement of operations.
