## **Note 1 - Nature of Business and Summary of Significant Accounting Policies**

## Nature of Business:

Finamex International, LLC (the Company), a wholly-owned subsidiary of Finamex USA, LLC, (the Parent), was organized in March 2019 as a Delaware limited liability company. The Company is registered as a brokerdealer with the Securities and Exchange Commission ("SEC") and is a member of the Financial Industry Regulatory Authority, Inc. ("FINRA") and Securities Investor Protection Corp. ("SIPC"). The U.S. dollar(\$) is the functional currency of the Company.

The Company operates under the exemptive prov1s10ns of Rule 15c3- 3(k)(2)(ii) of the Securities Exchange Act of 1934, and accordingly, is exempt from the remaining provisions of that Rule. For the Company's other business activities, it is considered a Non-Covered Firm exempt from 17 C.F.R. §240.15c3-3. The Company does not hold customer funds or securities, carry accounts for customers or carry PAB accounts (as defined in Rule 15c3-3).

The Company's operations consist primarily of providing secuntles brokerage services to individuals located in Mexico and providing chaperone and other equity transaction services to its Parent's Parent.

Significant Accounting Policies:

## Use of Estimates

The preparation of the financial statements in conformity with U.S. generally accepted accounting principles ("GAAP") requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates.

#### Revenue Recognition

Revenue from contracts includes securities comm1ss10ns and services revenue. The recognition and measurement of revenue is based on the assessment of individual contract terms. Significant judgment is required to determine whether the performance obligations are satisfied at a point in time or over time; how to allocate transaction prices where multiple performance obligations are identified; when to recognize revenue based on the appropriate measure of the Company's progress under the contract; and whether constraints on variable consideration should be applied due to uncertain future events.

## **Note 1 - Nature of Business and Summary of Significant Accounting Policies (continued)**

The Company buys and sells securities on behalf of its customers. Each time a customer enters into a buy or sells transaction, the Company charges a commission. Commissions and related clearing expenses are recorded on the trade date (the date that the Company fills the trade order by finding and contracting with counterparty and confirms the trade with the customer). The Company believes that the performance obligation is satisfied on the trade date because that is when the underlying financial instrument or purchaser is identified, the pricing is agreed upon and the risks and rewards of ownership have been transferred to/from the customer. The Company also acts as a chaperone for transactions between its U.S. institutional investors and its Parent's Parent, pursuant to Exchange Act Rule 15a-6, for which the Company receives a flat fee per month as securities commission for these trades. Securities commissions also include interest rebates on customer accounts, and other revenue related to customer accounts which is recorded on the trade date.

The Company earns services revenue under an agreement with its Parent's Parent. The Company believes the performance obligation for providing services revenue is satisfied over time because the customer is receiving and consuming the benefits as they are provided by the Company. Fees are earned monthly and are recognized as revenue at that time as they relate specifically to the services provided in that period, which are distinct from the services provided in other periods.

Reimbursed expenses consist of amounts reimbursed by a related party. The reimbursed expenses are recorded as revenue in the Company's financial statements when the services are provided or expenses are incurred. The Company presents reimbursed expenses gross in the statement of operations, reflecting both the expenses incurred and the corresponding reimbursement as revenue.

#### Income Taxes

The Company is a single member limited liability company and is treated as a disregarded entity for federal income tax purposes. Consequently, federal income taxes are not payable by, or provided for, the Company.

## Fair Value of Financial Instruments

The securities owned are held for investment purposes and are recorded at fair value in accordance with FASB ASC 820, *Fair Value Measurements and Disclosures.* The increase or decrease in fair value is credited or charged to operations.

#### **Note 2 - Transactions with Clearing Broker/Dealer**

The Company has a clearing agreement with a national clearing brokerdealer to provide clearing, execution and other related securities services. The agreement requires the Company to maintain a minimum of \$100,000 in a deposit account with the clearing broker-dealer. The agreement also requires minimum monthly charges of \$10,000.

#### **Note 3 - Net Capital Requirements**

The Company is subject to the SEC Uniform Net Capital Rule (Rule 15c3-1), which requires the maintenance of a minimum amount of net capital and requires that the ratio of aggregate indebtedness to net capital, both as defined, shall not exceed 15 to 1. Rule 15c3-1 also provides that equity capital may not be withdrawn or cash dividends paid if the resulting net capital ratio would exceed 10 to 1. At December 31, 2023, The Company had net capital of \$791,988, which was \$541,988 in excess of its required net capital of \$250,000. The Company's net capital ratio was 1.12 to 1.

#### **Note 4 - Fair Value I Securities Owned**

F ASB ASC 820 defines fair value, establishes a framework for measuring fair value, and establishes a hierarchy of fair value inputs. Fair value is the price that would be received to sell an asset or paid to transfer a liability in an orderly transaction between market participants at the measurement date. A fair value measurement assumes that the transaction to sell the asset or transfer the liability occurs in the principal market for the asset or liability or, in the absence of a principal market, the most advantageous market. Valuation techniques that are consistent with the market, income or cost approach, as specified by F ASB ASC 820, are used to measure fair value.

The fair value hierarchy prioritizes the inputs to valuation techniques used to measure fair value into three broad levels:

- *Level 1.* Quoted prices (unadjusted) in active markets for identical assets or liabilities that the Partnership can access at the measurement date.
- *Level 2.* Inputs other than quoted prices included within level 1 that are observable for the asset or liability either directly or indirectly.
- *Level 3.* Unobservable inputs for the asset or liability.

#### **Note 4 - Fair Value I Securities Owned (continued)**

The availability of observable inputs can vary from security to security and is affected by a wide variety of factors, including, for example, the type of security, the liquidity of markets, and other characteristics particular to the security. To the extent that valuation is based on models or inputs that are less observable or unobservable in the market, the determination of fair value requires more judgment. Accordingly, the degree of judgment exercised in determining fair value is greatest for instruments categorized in level 3.

The inputs used to measure fair value may fall into different levels of the fair value hierarchy. In such cases, for disclosure purposes, the level in the fair value hierarchy within which the fair value measurement falls in its entirety is determined based on the lowest level input that is significant to the fair value measurement in its entirety.

Following is a description of the valuation methodologies used for assets measured at fair value. There have been no changes in the methodologies used at December 31, 2023.

Debt securities: Valued at an evaluated bid price obtained from an independent pricing service that uses a matrix pricing method or other analytical models. These securities will generally be categorized in Level 1 of the fair value hierarchy.

#### **Note 4 - Fair Value I Securities Owned (continued)**

Securities owned consists of one U.S. Treasury bill which matures in January 2024. Cost and fair values of the securities owned at December 31, 2023, are as follows:

There were no transfers between level 1 and level 2 during the year.

There were no assets and liabilities measured at fair value on a recurring basis using significant unobservable inputs (level 3) during the year ended December 31 , 2023.

#### **Note 5 - Office Lease**

The Company leases office space in Houston, Texas and New York, New York on a month-to-month basis for approximately \$2,338 and \$2,990 per month respectively. Rental expense for the office lease totaled \$59,546 for the year.

## **Note 6 - Concentration of Credit Risk**

Securities Investor Protection Corporation (SIPC) protects against the loss of cash and securities held by a customer at a financially-troubled SIPCmember brokerage firm. The limit of SIPC protection is \$500,000 which includes a \$250,000 limit for cash. The Partnership's bank balances are insured by the Federal Deposit Insurance Corporation (FDIC) up to \$250,000. It is the Partnership's practice to utilize high net worth financial institutions to minimize its credit risk. Cash balances fluctuate on a daily basis. Cash and securities owned are in excess of the SIPC protection of \$500,000, creating a credit risk of approximately \$1 .1 million at December 31, 2023.

Accounts receivable from the related parties at December 31, 2023, totals \$394,900, or approximately 19% of total assets.

### **Note 6 - Concentration of Credit Risk (continued)**

The Company has cash, a clearing deposit and securities owned held by the clearing broker-dealer totaling \$1,603,001, or approximately 76% of total assets at December 31, 2023.

#### **Note 7 - Contingencies**

There are currently no asserted claims or legal proceedings against the Company, however, the nature of the Company's business subjects it to various claims, regulatory examinations, and other proceedings in the ordinary course of business. The ultimate outcome of any such action against the Company could have an adverse impact on the financial condition, results of operations, or cash flows of the Company.

#### **Note 8 - Off-Balance-Sheet Risk**

As discussed in Note 1, the Company's customers' securities transactions are introduced on a fully disclosed basis with its clearing broker/dealer. The clearing broker/dealer carries accounts of the customers of the Company and is responsible for execution, collection and payment of funds, and receipt and delivery of securities relative to customer transactions. Off-balance-sheet risk exists with respect to these transactions due to the possibility that customers may be unable to fulfill their contractual commitments wherein the clearing broker/dealer may charge any losses it incurs to the Company. The Company seeks to minimize this risk through procedures designed to monitor the credit worthiness of its customers and that customer transactions are executed properly by the clearing broker/dealer.

### **Note 9 - Related Party Transactions/Concentration of Revenue**

The Company and its Parent's Parent have entered into an agreement (Agreement) under which the Company acts as a chaperone for transactions between its U.S. institutional investors and its Parent's Parent, pursuant to Exchange Act Rule 15a-6, effective December 10, 2020. The Agreement was for an initial one-year term and is automatically renewable unless canceled by either Party. The Agreement has automatically renewed through 2023. Under the Agreement, the Company received a flat fee per month of \$10,000 as securities commission for these trades, which totaled \$120,000 for 2023.

## **Note 9 - Related Party Transactions/Concentration of Revenue (continued)**

The Company and its Parent's Parent have entered into a Service Agreement (Service Agreement) effective July 1, 2021 and amended effective July 29, 2022. The Service Agreement is cancelable by either party upon at least 30 days prior notice. Under the Service Agreement, the Company provides referencing services for equity transactions to the Parent's Parent. The Service Agreement requires the Parent's Parent to pay the Company a percentage of the profit margin generated in their equity sales area for the transactions referred by the Company, which is reviewed and updated every six months, and is currently 60%. Revenue earned under the Services Agreement totaled \$1,93 5,250 during 2023 , of which \$327 ,961 is receivable at December 31, 2023.

The Company and a related party entered into an Agreement (Reimbursement Agreement) effective January 1, 2022. Under the Reimbursement Agreement, the related party reimburses the Company for reasonable business expenses incurred on behalf of the related party. Expenses reimbursed under the Reimbursement Agreement totaled \$3 75,072 during 2023, of which \$66,93 9 is receivable at December 31, 2023.

Revenue earned from related parties during 2023 totaled \$2,430,322, or approximately 97% of total revenue.

#### **Note 10 - Subsequent Events**

Management has evaluated the Company's events and transactions that occurred subsequent to December 31, 2023, through April 1, 2024, the date which the financial statements were available to be issued.
