# **Note A - Summaty of Significant Accounting Policies:**

### **Nature of Operations:**

Sun's Brothers Securities, Inc. (the Company) is a Hawaii corporation formed on September **4,** 2002. The Company is registered with the SEC as a securities broker-dealer pursuant to Section 15(b) of the Securities Exchange Act of 1934 and is a member of the Financial Industry Regulatory Agency ("FINRA").

In accordance with this regjstration, the nature and scope of the Company's activities are the sale of securities and related financial services in the State of Hawaii. The majority of the Company's revenue comes from trading of institutional bonds. The Company is required to maintain a minimum "net capital" of \$5,000 at all times.

### **Basis of Accounting:**

The accompanying financial statements have been prepared in confonnity with accounting principles generally accepted in the United State of America (GAAP).

#### **Estiinates:**

The preparation of financial statements in conformity \\ith GAAP requires management to make estimates and assumptions affect the reported amounts of assets and liabilities, and disclosure of contingent assets and liabilities, and reported revenues and expenses during the year. Actual results could differ from those estimates.

### **Cash and Cash Equivalents:**

The Company considers all shorr-tenn investments with an original maturity of three months or less that are not required to be segregated under Federal or other regulations to be cash and casb equivalents.

#### **Office: Equipment:**

Office equipment is recorded at cost. Depreciation is computed using the accelerated method over the estimated useful lives of the assets. Estimated useful lives used by the Company are as follows.

# **Note A - Summazy of Significant Accounting Policies (continued):**

#### **Revenue from Contracts with Customers:**

1ne Company buys and sells securities on behalf of its customers. Each time a customer enters into a buy or sell transaction, the Company charges a commission. Commissions and related clearing expenses :;1.re recorded on the trade date (the date that the Company fills the trade order by finding and contracting with a countc::rparty and confirms the:: trade:: with the:: customer). The Company bc::lic::vc::s that the performance obligation is satisfied on the trade date because that is when the underlying financial instrument or purchaser is identified, the pricing is agreed upon and the risks and rewards of ownership have been transferred to/ from the customer.

The Company enters inco arrangements with pooled investment vehicles (funds) co distribute shares to investors. The Company may receive distribution fees paid by the fund up front, over time, upon the investor's ex.it from the fund (that is, a contingent deferred sales charge), or as a combination thereof. The Company believes that its performance obligation js the sale of securities to investors and as such this is fulfilled on the trade date. Any fo{ed amounts are recognized on the rrade dace and variable amounts are recognized to the extent it is probable that a significant revenue reversal u,ill not occur once the uncertainty is resolved. For variable amounts, as the uncertainty is dependent on the value of the shares at future points in time as well as the length of time the investor remains in the fund, both of which are highly susceptible to factors outside the Company's influence, the Company does not believe that it can overcome chis constraint until the market value of the fund and the investor activities are known, which are usually monthly or quarterly. Distribution fees recognized in the current period are primarily related to performance obligations that have been satisfied in prior periods.

# **Comprehensive Income:**

Unrealized gain (loss) on securities available for sale for the year-ended are accounted for as Ocher Comprehensive Income (Loss) in the accompanying Statement of Operations. Accumulated unrealized gain Qoss) on such securities is included in Accumulated Other Comprehensive Income/ Loss on the accompanying Statement of Financial Condition.

#### **Income taxes:**

lncome taxes are prov1ded for the tax effects of transactions reported in the financial statements and consist of taxes currently due and deferred taxes due to temporary differences and loss carryforwards. The Company had a taxable loss for both Federal and State income cax purposes for the year ended September 30, 2023 and bad an operating loss carryforward of approximately \$77,500 as of September 30, 2023. As a result, the Company had no current or deferred income tlL'"( liability.

The Company's tax filings are subject to audit by various taxing authorities. The Company's Federal Income Tax Retums for the years ended September 30, 2020 through September 30, 2022 remain open to examination by the Internal Revenue Service; State Income Tax Returns for the same periods remain open to examination by the State of Hawaii.

# **Date of Management's review:**

Management has e,:a)uated events subsequent to the balance sheet date for items requiring recording or disclosure in the financial statements. The evalwttion was performed up co and including the date financial statements were issued. Based upon this review, the Company has determined that there were no events which took place that would have a material impact on its financial statements.

# **Note B - Net Capital Requirements:**

The Company is subject to the Securities and Exchange Commission Uniform et Capital Rule (SEC rule 1 Sc3-1 ), whjch reqwres the maintenance of minimum net capital, and requirements that the ratio of aggregate indebtedness to net capital, botl1 as defined, shall nor exceed **1** S to 1. At September 30, 2023, the Company had net capital of \$53,922 which was \$48,922 in excess of its required nee capital of \$5,000. The Company's ratio of aggregate indebtedness to net capital was 1.34 to 1 at September 30, 2023.

# **N o te C - Receivable From and Deposit With Clearing Broker-De aler:**

The Company clears customer transactions through another broker-dealer ("clearing broker'') on a fully disclosed basis pursuant to a clear:ing agreement. In accordance with this agreement, the Company is re9uired to maintain a deposit in cash and/ or securities. Securities on deposit ·with the clearing broker are valued at fair value. The deposit is refundable if, and when, the Company ceases doing business with the clearing broker.

Receivable from clearing broker at September 30, 2023 consists of commissions receivable, net of clearing fees and expenses. Management has evaluated the receivable and considered this amount to be fully collectible, therefore, no allowance for credit loss is required.

### **Note D - Fair Value of Financial Instruments**

Accounting principles generally accepted in the United States of America (GAAP) defines fair value, establishes a framc.·work for measuring fajr value, and establishes a fair value hierarchy which prioritizes the inputs to valuation techruques. Fair value is the price that would be received to sell an asset or paid to transfer a liability in an orderly transaction between market participants at the measurement date. A fair value measurement assumes that the transaction to sell the asset or transfer the liability occurs in the principal market for the asset or liability or, in the absence of a principal market, the most advantageous market. Valuation cechnigues that are consistent with the market, income or cost approach, as specified by GA.AP arc used to measure fair value.

The fair value hierarchy prioritizes the inputs to valuation techniques used to measure fair value into three broad levels:

# **Note E - Related Party Information**

The sole shareholder has provided office space for the Company on a month to month basis, for which the Company has incurred \$7,200 in rent expense. As of September 30, 2023 the Company had \$20,800 due to shareholder for rent for the years ended 2021 and 2023.

The Company has an unsecured line of credit agreement with Central Pacific Bank which provides that the Company may borrow up to \$20,000. Borrowing under the line accrues interest at an annual rate of 10.00% and daily periodic rate of .0274%. There \'\·as an outstanding balance of \$17,463 on September 30, 2023. The line of credit doesn't have maturity date.

The Company has a loss of \$71,942 for the year ending September 30, 2023, and has received capital contributions from its stockholder for working capital. The Company's stockholder has represented that he intends to continue ma.king capital conuibutions, as needed, to ensure the Company's continuing operation.
