### **1. Organization and Nature of Business**

NexBank Securities, Inc. (Company), a Delaware Corporation is a wholly owned subsidiary of NexBank Capital, Inc. (NCI).

 The Company is a registered broker-dealer with the Securities and Exchange Commission (SEC) and is a member of the Financial Industry Regulatory Authority (FINRA). The Company is exempt from the provisions of SEC Rule 15c3-3 by relying on Footnote 74 of the SEC Release No. 34-70073.

#### **2. Significant Accounting Policies**

#### **Basis of Accounting**

The accompanying financial statements have been prepared in accordance with accounting principles generally accepted in the United States of America.

#### **Use of Estimates**

The preparation of financial statements in conformity with generally accepted accounting principles requires management to make estimates and assumptions that affect the amounts reported in the financial statements and accompanying notes. Actual results could differ from those estimates. Significant estimates include the fair value of equity investments.

### **Cash**

Cash includes unrestricted cash on deposit of \$607,000 as of December 31, 2025. Of the total amount, approximately \$44,000 was in an affiliated bank (NexBank).

The Company has cash deposits at an unaffiliated commercial bank of which approximately \$313,000 are not insured by the Federal Deposit Insurance Corporation (FDIC) at December 31, 2025.

#### **Fixed Assets**

Fixed assets consist of furniture, equipment, and leasehold improvements, which are reported at historical cost less accumulated depreciation. Depreciation is determined by use of the straight-line method over the estimated life of the asset, or, in the case of leasehold improvements, the shorter of the estimated life or the remaining term of the related lease. Upon disposal of fixed assets, the related gain or loss is included in income.

#### **Equity Investments**

The Company purchased a privately held equity investment in 2021 for approximately \$719,000. This equity investment was recorded at estimated fair value, which is the exchange price that would be received (an exit price) for the principal in an orderly transaction between willing market participants on the remeasurement date. In 2023, the Company made an additional investment of approximately \$983,000. In March 2024, Talos Energy Inc. ("Talos") completed their acquisition of the equity investee in a cash and stock transaction providing the Company with approximately \$2.8 million in cash and 55,348 shares of Talos stock (a publicly traded company) valued at \$710,000 at acquisition. The Company recorded a \$126,000 gain on the transaction. The Talos stock is recorded at fair value with changes in value recorded in the income statement. The fair value of this investment at December 31, 2025 is approximately \$610,000. The equity investment is valued based on quoted prices in active markets for identical assets and considered a level 1 within the fair value hierarchy.

In 2025, the Company acquired a convertible preferred equity investment, with participation rights and warrant options, in Fermi, Inc ("FRMI") for \$7,000,000. On September 30, 2025 Fermi completed their initial public offering (IPO) and the Company's preferred equity position was converted into 493,739 of common equity shares. The Company was entitled to IPO participation rights and acquired an additional 196,000 shares at a cost of \$4,116,000. The option to purchase warrants of 560,001 common equity shares at a strike price of \$7.51 remains active through June 30, 2026. As of December 31, 2025, the Company has not exercised its option to purchase the warrants. The Company recorded the common equity investment and the warrants at fair value with changes in value recorded in the income statement. This common equity investment is considered a level 1 within the fair value hierarchy; while the warrants are considered a level 2 investment and were priced using observable market data in active markets other than direct quoted prices for identical assets. There are no level 3 assets or liabilities. As of December 31, 2025, the fair value of the common equity investment and the warrants were \$5,518,000 and \$274,000, respectively. There are no financial assets or liabilities measured at fair value on a nonrecurring basis.

Because NSI is a registered broker-dealer, the applicable industry guidance is ASC 940, Financial Services—Brokers and Dealers. Consistent with ASC 940 and its cross-reference to ASC 820, securities held by a broker-dealer are measured at fair value in accordance with ASC 940-320-30-2. Any changes in fair value are recognized in earnings. Accordingly, as of December 31, 2025, it is appropriate to measure the financial instruments, including the preferred shares, participation rights, and warrants at fair value.

The Company's financial instruments are subject to market risk, including changes in market prices and volatility that may affect their fair value. All securities positions in the accompanying balance sheet are recorded at fair value, and changes in market prices are recognized in earnings. The Company has considered applicable concentration and market risk factors, LQFOXGLQJWKRVHUHODWHGWRVLQJOHဩLVVXHUHTXLW\SRVLWLRQVLQLWVHYDOXDWLRQRIQHWFDSLWDODQGUHODWHGUHJXODWRU\UHTXLUHPHQts. Management believes that, as of December 31, 2025, these risks do not impair the Company's ability to meet its ongoing obligations or regulatory capital requirements.

#### **Income Taxes**

Income tax expense includes the total of the current year income tax due or refundable and the change in deferred tax assets and liabilities. Deferred tax assets and liabilities are the expected future tax amounts for the temporary differences between carrying amounts and tax basis of assets and liabilities, computed using enacted tax rates. A valuation allowance, if needed, reduces deferred tax assets to the amount expect to be realized.

A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded.

The Company recognizes interest and/or penalties related to income tax matters in income tax expense. The Company files a consolidated Federal income tax return with its parent. The Company is party to a tax sharing agreement that provides for tax treatment as if the Company filed taxes on a stand-alone basis.

#### **Recently Adopted Accounting Guidance**

#### FASB ASU 2023 09 – Income Taxes (Topic 740): Improvements to Income Tax Disclosures

This ASU is intended to enhance income tax disclosures, including improved transparency around effective tax rates and income taxes paid. For private companies, the ASU requires qualitative disclosure of the nature and effects of significant reconciling items that cause differences between the statutory and effective tax rates, including relevant jurisdictional impacts. The ASU also requires all entities to disclose income taxes paid to federal, state/local, and foreign jurisdictions and to identify any individual jurisdiction representing at least 5% of total income taxes paid. The ASU is effective for annual periods EHJLQQLQJDIWHU'HFHPEHUIRUQRQဩSXEOLFHQWLWLHVZLWKHDUO\DGRSWLRQSHUPLWWHG\$GRSWLRQRI\$68-09 did not have a material impact the Company's consolidated financial statements.

#### **Subsequent Events**

The Company has evaluated events and transactions for potential recognition or disclosure through March 31, 2026, the date the financial statements were available to be issued.

#### **4. Related Party Transactions**

Certain expenses incurred by affiliated entities are allocated to the Company pursuant to the terms of a management agreement between these entities. Total expenses allocated to the Company and expensed by the Company during 2025 amounted to approximately \$260,000, including rent allocation of approximately \$5,000, as discussed in Note 8. At year end, there were no payables or receivables from affiliates.

#### **5. Employee Benefits**

The Company, together with its parent company and other affiliates, has a noncontributory profit-sharing plan integrated with a contributory 401(k) employee benefit plan (Plan) covering substantially all employees. Employees generally become eligible in the Plan upon attainment of the age of 21, with entry dates of January 1 and July 1 of each year. Under the Plan, the Board of Directors may contribute, at their discretion and subject to annual limitations, certain amounts in the form of matching, profit sharing and/or qualified non-elective contributions. Plan expense for the year ended December 31, 2025 amounted to approximately \$5,000.

The Company recognizes deferred tax assets and liabilities for the expected future tax consequences of events that have been included in the financial statements. As of December 31, 2025, the Company had no valuation allowance for deferred taxes was recorded as management believes it is more likely than not that all deferred tax assets will be realized.

The Company does not have any uncertain tax positions and does not have any interest and penalties recorded in the Statement of Operations for the year ended December 31, 2025. The Company is part of a consolidated income tax return in the US. The company is no longer subject to examination by the US federal tax jurisdiction for years prior to 2022.

## **7. Commitments, Guarantees and Contingent Liabilities**

The Company includes lease extension and termination options in the lease term if, after considering relevant economic factors, it is reasonably certain the Company will exercise the option. In addition, the Company has elected to account for any non-lease components in its real estate leases as part of the associated lease component. The Company has also elected not to recognize leases with original lease terms of 12 months or less (short-term leases) on the Company's Statement of Financial Condition.

Leases are classified as operating or finance leases at the lease commencement date. Lease expense for operating leases and short-term leases is recognized on a straight-line basis over the lease term. Right-of-use assets represent our right to use an underlying asset for the lease term and lease liabilities represent our obligation to make lease payments arising from the lease. Right-of-use assets and lease liabilities are recognized at the lease commencement date based on the estimated present value of lease payments over the lease term.

The Company uses its incremental borrowing rate at lease commencement to calculate the present value of lease payments when the rate implicit in a lease is not known. The Company's incremental borrowing rate is based on the FHLB amortizing rate, adjusted for the lease term and other factors.

The Company leases its primary office facility under an informal lease agreement with NexBank, an affiliate through common ownership, which expires August 31, 2032. Under the agreement, the Company is allocating approximately 50bps of the total lease payments required by NexBank. The allocation rate became effective in 2021. On January 1, 2019 (date of adoption of ASU 2016-02), the Company recorded a right of use asset and operating lease liability of \$29,000 and \$32,000, respectively, related to this arrangement. These amounts were determined based on the present value of the remaining minimum lease payments, discounted using the Company's incremental borrowing rate as of the date of adoption of 5.5%. At that time, it was uncertain as to whether or not the lease would be extended further. On June 18, 2020, the primary office facility lease was extended to expire on August 31, 2032. The Company recorded a right of use asset and operating lease liability of \$160,000 and \$162,000, respectively, in 2020 related to this extension. These amounts were determined based on the present value of the remaining minimum lease payments with a remaining term of 128 months, discounted using the Company's incremental borrowing rate as of the date of extension of 3.25%.

Total rent expense for the year ended December 31, 2025 amounted to approximately \$5,000, substantially all of which was allocated from related parties.

The current balance of the right of use asset is approximately \$30,000 and is reported in other assets in the accompanying Statement of Financial Condition. Right of use is reported along with the lease obligations above in other liabilities.

The Company does not anticipate any material losses as a result of the commitments and contingent liabilities.

#### **8. Net Capital Requirements**

The Company is required by Rule 15c3-1 of the Securities Exchange Act of 1934 to maintain minimum net capital as defined, which is the greater of \$5,000 or 6 2/3% of total aggregate indebtedness.

At December 31, 2025, the Company had total net capital and total aggregate indebtedness, as defined, of approximately \$4,758,000 and \$378,000, respectively, resulting in a ratio of aggregate indebtedness to net capital of 0.08 to 1.00. Total excess net capital was approximately \$4,733,000 above the minimum required net capital of approximately \$25,000.

In accordance with the disclosure requirements of SEC Rule 17a-5(d)(4), there were no material differences between the computation of net capital and the Company's corresponding Part IIA of its unaudited quarterly Financial and Operational Combined Uniform Single Report at December 31, 2025.

### **9. Customer Protection, Reserves and Custody of Securities**

The Company does not hold customer accounts, funds, or securities.
