## NOTE 1 - Nature of Business and Summary of Significant Accounting Policies

## Nature of Business

Bowne Park Capital, Inc., (the "Company) is a brokerage firm engaged primarily in providing advisory services, with respect to raising capital and financing alternatives and acting as a placement agent in the private placement of securities. The Company is a registered broker-dealer and is a member of the Financial Industry Regulatory Authority, Inc. ("FINRA") effective April 2011.

The Company operates under the reliance of Footnote 74 of SEC Release No. 34-70073. The Company does not hold customer funds or safekeep customer securities.

#### Revenue Recognition

The Company recognizes advisory revenues in accordance with the provisions of the respective agreements and in compliance with the requirements of ASC 606.

The Company earns revenue by way of transaction placement fees or consulting fees that are recognized at the point in time that performance under the arrangement is completed. The Company has determined that this date is the appropriate point in time to recognize revenue for placement fees as the performance obligation has been satisfied, there are no significant actions which the Company needs to take subsequent to this date and the purchaser obtains the control and benefit of the proceeds at that point. Payment for revenue of the transaction price to the performance.

The firm recognizes both interest income and consulting fees as earned.

## Use of Estimates

The preparation of financial statements in conformity with U.S. generally accepted accounting principles requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and the disclosure of contingent assets and liabilities at the date of the financial statements and reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates.

## Cash and Cash Equivalents

The Company considers all highly liquid investments with a maturity of three months or less at the time of purchase to be cash equivalents and not subject to a haircut. Money Market funds are subject to a Two Percent (2%) haircut.

The Company maintains its cash deposits at JP Morgan CHASE and UBS Securities. The Company has not experienced any losses in such accounts and believes it is not subject to any significant

## Property and Equipment

Property and equipment are stated at cost. Depreciation is computed using the straightline method over the estimated useful lives of the related assets, which approximates 3 years.

#### Income Taxes

The Company has elected to be taxed as an "S" corporation for Federal and State income tax purposes. Accordingly, income is passed through to its stockholder and taxed at the personal level. The Company is subject to New York City General Corporation tax.

## Fair Value Measurements

The authoritative guidance for fair value measurements defines fair value as the exchange price that would be received for an asset or paid to transfer a liability (an exit price) in the principal or the most advantageous market for the asset or liability in an orderly transaction between market participants on the measurement date. Market participants are buyers and sellers in the principal market that are (i) independent, (ii) knowledgeable, (iii) able to transact, and (iv) willing to transact. The guidance describes a fair value hierarchy based on the levels of inputs, of which the first two are considered observable and the last unobservable, that may be used to measure fair value which are the following:

Level 1: Quoted prices in active markets for identical assets or liabilities.

Level 2: Inputs other that Level 1 that are observable, either directly, such as quoted prices for similar assets or liabilities; quoted prices in markets that are not active, or other inputs that are observable or corroborated by observable market data or substantially the full term of the assets or liabilities.

Level 3: Unobservable inputs that are supported by little or no market activity and that are significant to the value of the assets or liabilities.

The Company's financial instruments include cash equivalents and accrued liabilities. These items are determined to be a Level 1 fair value measurement.

The carrying amounts of cash and cash equivalents and accrued liabilities approximates fair value because of the short maturity of these instruments.

#### NOTE 3 -Regulatory Requirements

The Company is subject to the SEC uniform Net Capital Rule 15c3-1. This rule requires the maintenance of minimum net capital and requires that the ratio of aggregate indebtedness to net capital, both as defined, shall not exceed 15 to 1, and that equity capital may not be withdrawn if the resulting net capital ratio would exceed 10 to 1.

On December 31, 2025, the Company's net capital was \$115,713, which was \$110,713 more than its minimum requirement of \$5,000 under SEC Rule 15c3-1. The Company's net capital ratio was 4.32%.

#### NOTE 4 -Subsequent Events

There are no other events or transactions since December 31, 2025, through the date of these financial statements were issued that would require recognition or disclosure in these financial statements.
