NOTES TO FINANCIAL STATEMENTS

#### **NOTE 1 - Nature of Business**

Netrex Capital Markets, LLC (the "Company") is a broker-dealer registered with the Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority (FINRA). The Company is a Florida corporation formed on March 7, 2011 and is majority owned by Netrex Capital Markets Holdings, LLC (the "Parent"). The Company began operations on October 9, 2012, as Cadena Securities Services, LLC. In September 2018, the Company was acquired by Netrex Capital Markets Holdings, LLC and changed the name to Netrex Capital Markets, LLC. Effective January 1, 2021 the majority owner has a preferred position until having received the full return of its Preferred Capital of \$1,900,000 plus an aggregate amount sufficient to receive a compounded annual return thereon of 4%.

The Company principally provides public and private companies advice regarding capital raising. The Company anticipates advising primarily on new debt financings however, it also advises private companies involved in merger and acquisition activity as to which investment banking firms they should engage. The Company does not maintain any customer accounts, handle customer funds, or securities, and is not involved in any trading activities.

#### **Note 2 Summary of Significant Accounting Policies**

#### Basis of Presentation

The Company prepares financial statements in accordance with Generally Accepted Accounting Principles in the United States.

#### Cash and Cash Equivalents

The Company considers all highly liquid investments, with original maturities of less than ninety days that are not held for sale in the ordinary course of business as cash and cash equivalents. Cash and cash equivalents held at financial institutions, at times, may exceed the amount insured by the Federal Deposit Insurance Corporation

#### Revenue Recognition

The Company recognizes revenue in accordance with Financial Accounting Standards Board Accounting Standards Codification ("ASC") 606 Revenue from Contracts with Customers.

Revenue is measured based on a consideration specified in a contract with a customer. The Company recognizes revenue when it satisfies a performance obligation by transferring control over goods or service to a customer. The Company's revenues within the scope of ASC 606 include fees from investment banking and merger and acquisition advisory services.

The Company may provide advisory services/corporate finance activity including mergers a111d acquisitions, reorganizations, tender offers, leveraged buyouts, fundraising activity and the pricing of securities to be issued. The Company's contracts generally have a duration of one year or less.

The Company has participated as am underwriter in bond transactions as a co-underwriter with a large investment bank. Revenue is recognized upon closing of the underwriting.

The Company's agreements contain nonrefundable retainer fees and I or success fees, which may be fixed or represent a percentage of value that the customer receives if and when the corporate finance activity is completed ("success fees"). In some cases, there is. also an "base service fees" that is calculated on the date that a service is completed based on the details included in the underlying agreement. The retainer fees, base service fee, or other milestone fees reduce any success fee subsequently invoiced and

received upon the completion of the corporate finance activity. The Company evaluates its nonrefundable retainer payments, to determine if the fee relates to the transfer of a good or service, as a distinct performance obligation, in exchange for the retainer. If a promised good or service is not distinct, the Company combines that good or service with other promised goods or services until it identifies a bundle of goods or services that is distinct. In some cases, that would result in the broker-dealer accounting for all the services promised in a contract as a single performance obligation and the retainer revenue is classified as deferred revenue on the Statement of Financial Condition.

At December 31, 2021 there was \$0 of deferred revenue, 100% of the \$50,000 of deferred revenue from December 31 2020 was recognized during 2021.

All of the Company's revenue for 202·1 is recognized at a point in time.

#### Account Receivable and Allowance for Credit Losses

Accounts receivable are due when invoiced or within 30 days and allowance for credit losses is provided based upon a periodic analysis of individual account balances. At December 31, 2021 the Company determined that no allowance for credit losses was necessary.

#### Income Taxes

The Company is an LLC and is disregarded for Federal income tax purposes. Accordingly, no provision for income taxes is provided in the financial statements. The company has paid New York State income tax on behalf of its members through a **PTET** election with New York, which is recorded as distributions for 2021.

The Company is required to determine whether a tax position is more likely tthan not to be sustained upon examination by the applicable taxing authority, including resolution of any tax related appeals or litigation processes based on the technical merits of the position. The Company files an income tax return in the U.S. federal jurisdiction and may file income tax returns in various U.S. states.

The Company has no uncertain tax positions at December 31, 2021.

The Company's tax returns are open for examination for the year 2018 and thereafter.

#### Advertising Costs

Advertising costs are charged to operations during the period in which they are incurred.

#### Estimates

The preparation of financial statements in conformity with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates.

#### **NOTE** 3 - **Net Capital Requirements**

The Company is subject to the Securities and Exchange Commission Uniform Net Capital Rule (Rule 15c3-1 ), which requires the maintenance of a minimum amount of net capital and requires that the ratio of aggregate indebtedness to net capital, both as defined, shall not exceed 15 to 1. Rule 15c3-1 also provides that equity capital may not be withdrawn or cash dividends paid if the net capital ratio after such withdrawals

or payments would exceed 10 to 1. The Company had net capital of \$3, 188,889 and excess capital of \$3,088,889 as of December 31 , 202·1, and a net capital requirement of \$100,000. The Company's net capital ratio as of December 31 , 2021 was .01 to 1

#### **NOTE 4 - Related Party Transactions**

The Company is owned by the Members. The Members assume responsibility for all income tax liabilities.

During the year ended December 31 , 2021 , pursuant to an agreement between the Company and Netrex LLC, an entity in which the chief executive officer has an ownership interest, the Company recorded an administrative services fee expense of \$19,212 to the affiliate. The administrative fee expense covers the administrative services and office space provided to the Company by the affiliate. This amount is included in Services fees on the Statement of Income. The affiliate also provided payroll services, benefits and paid jointly incurred expenses on behalf of the company for which it was reimbursed. The Company incurred \$464,818 of such costs during the year. Included in accounts payable and accrued expenses is \$32,637 payable to the affiliate.

The Company incurred \$316, 940 of fees to an entity affiliated with the Company's chief executive officer for promotional activities. At December 31 , 2021 , there is \$0 due to this entity included in accounts payable and accrued expenses

#### **NOTE 5 - Concentration of Credit Risk and Major Customers**

During 2021 one customer accounted 10.1% of the Company's revenue. At December 31 , 2021, all of the Company's accounts receivable was due from two customers.

#### **NOTE 6 - PPP Loan**

The Company received a \$182,813 Paycheck Protection Program loan under the Federal Coronavirus Aid, Relief and Economic Security Act ("CARES Act") during 2021 and the loan was forgiven during 2021 under the terms of the CARES Act.

#### **NOTE 7 - Subsequent Events**

The company evaluated subsequent events through the date that the financial statements were available to be issued.

The Company made member distributions during March of \$2,000,000 after notifying FINRA of the intended distribution as required by SEC regulations.

The Company entered into a 36 month lease for its offices from a related party. The payments for 2022 will be approximately \$41 ,346 for 2022 and then \$45, 104 annually through June 2025. The company also paid approximately \$53,000 for lease hold improvements during 2022.

We have reviewed management's statements, included in the accompanying Exemption Report, in which **(1)** Netrex Capital Markets, LLC (the "Company") identified the following provisions of 17 C.F.R. § 15c3-3(k) under which the Company claimed an exemption from 17 C.F.R. § 240. I 5c3-3: (2)(i) (the "exemption provision") and (2) the Company stated that the Company met the identified exemption provisions throughout the most recent fiscal year ended December 31, 2021 without exception. The Company's management is responsible for compliance with the exemption provisions and its statements.

Our review was conducted in accordance with the standards of the Public Company Accounting Oversight Board (United States) and, accordingly, included inquiries and other required procedures to obtain evidence about the Company's compliance with the exemption provisions. A review is substantially less in scope than an examination, the objective of which is the expression of an opinion on management's statements. Accordingly, we do not express such an optmon.

Based on our review, we are not aware of any material modifications that should be made to management's statements referredl to above for them to be fairly stated, in all material respects, based on the provisions set forth in paragraph (k)(2)(i) of Rule 15c3-3 under the Securities Exchange Act of 1934.
