# **MAY CAPITAL GROUP, LLC NOTES** TO **FINANCIAL STATEMENTS DECEMBER 31, 2021**

## **1.** *ORGANIZATION AND NATURE OF BUSINESS*

May Capital Group LLC (the "Company"), was formed as a limited liability company on August 15, 1994 in the State of J\ew Jersey.

The Company is a ful ly disclosed broker dealer and sells mutual funds, variable life insurance and variable annuities as outlined in their FINRA membership agreement. The Company acts as a broker-dealer and is exempt from Securities and Exchange Commission Ruic I 5c3-3 under paragraph k(2)(i). The Company is not required to have any anangement with a clearing broker.

## **2.** *SIGNIFICANT ACCOUNTING POLICIES*

### **Revenue Recognition**

Securities transactions and the related revenues and expenses are recorded in the financial statements on a trade date basis.

### **Significant Judgement**

Significant Judgement is required to dctenninc whether perfomrnnce obligations are satisfied at a point in time or over time; how to allocate transaction prices where multiple performance obligations are identified; when to recognize revenue based on the appropriate measure of the Company's progress under the contract; whether constraints on variable consideration should be applied due to uncertain fururc events.

### **Mutual Fund Fees, Variable Life and Variabl e Annuity Fees**

The Company enters into agree1nl.!n ls with Mutual Funds, Variable Life and Variable Annuities (''Funds") to distribute shares lo investors. The Company may receive distribution fees paid by the Fund up front, over time, upon the investors exit from the fund, or as a combination thereof. The Company believes that its performance obligation is the sale of securities to investors and as such th is is fu lfilled on the trade elate. Any fixed amounts are recognized 011 the trade elate and variable amounts are recognized to the extent it is probable that a significant revenue reversal will not occur once the uncertainty is resolved. For variable amounts, as the uncertainty is dependent on the value of the shares at future points in time as well as the length of time the investor remains in the fund, both of which arc highly susceptible to factors outside the Company's influence. The Company does not believe that it can overcome this constraint until the market value of the Fund and the investor activities are known, which usually occurs monthly or quarterly. Mutual f und Fees, Variable Life and Variable Annuity Fees recognized in the current period arc primarily related to performance obligations that have been satisfied in prior periods.

### Property and Equipment

Property and equipment are recorded at cost. Depreciation had been computed using accelerated methods of depreciation. Expenditures for repairs and maintenance are charged to operations as incurred. Additions and improvements are capitalized.

#### **Income Taxes**

No provision for Federal or State income taxes has been made in the accompanying financial statements since such liabilities and related expenses are the responsibility of the member. The Company is responsible for a NYC unincorporated business tax on income, which is calculated at the statutory rate.

### Use of Estimates

The preparation of financial statements in conformity with generally accepted accounting principles in the United States or America requires management to make estimates and assumptions that affect the reported amounts or the assets and liabilities at the date of' the financia l statements and the reported amounb of revenues and expenses during the reporting period. Actual results could differ from those estimates.

### **3.** *NEW ACCOUNTING GUIDANCE*

In June 20 I 6, the FASB issued Accounting Standards Update (ASU) 2016-13 - Current Expected Credit Losses ("CECL") wh ich replaces the cu1Tent incurred loss model used to measure impairment loss with an expected loss model for trade and other receivables. The Company adopted the standard during 2020, under the modified retrospective approach to the earliest period resented. The adoption or ASU 20 16-1 3 did not have a material effect on the Company's financial statements.

## **4.** *CASH FLOW INFORMATION*

The Company considers all short-tenn investments with an original maturi ty of three months or less to be cash equivalents.

## *5. ACCOUNTS RECEIVABLE*

Accounts receivable represent commissions due from mutual funds, insurance companies and trust sponsors. Management has determined that no allowance for credit losses is necessary at December 3 1, 2021.

## 6. *CONCENTRATION OF CUSTOMER RECEIVABLES*

For the year ended December 3 1, 202 1, six customers accounted for 83% of the Company's Accounts Receivable.

## **8.** *NET CAPITAL REOUJREMENTS*

The Company is a member of th~ Financial Industry Regulatory Authority (FINRA) and subject to the Securities and Exchange Commission's Uniform Net Capital Rule (Rule l 5c3-l ), which requires the maintenance of minimum net capital of \$5,000 and requires that the ratio of aggregate indebt edness to the net capital, both as defined, shall not exceed 15 to I. At December 31 , 2021 the Company had net capital of \$34,624, which was \$29,624 in excess of the amount required. The ratio of aggregate indebtedness to net capital was 19.90.

### 9. *SUBSEOUENT EVENTS*

The Company has evaluated subsequent events through March 30, 2022, the date on which these financial statements were available to be issued. The Company did not identify any material subsequent events requiring adjustment to or disclosure in its financial statements.

## **10.** *RELATED PARTY TRANSACTIONS*

The Company entered into an Expense Sharing Agreement with May f inancial Group, LTD ("Affiliate") dated January ,1. 20 I 8. The agreement provides that May Capital Group LLC will pay Affiliate \$~30 per month for: Rent, administrati ve costs, telephone and postage. The total paid for 202 1 was \$9, 130. At December 31, 202 1 \$830.00 was due to the Affiliate from the Company.

## 11. *RISKS AND UNCERTAINTIES*

The Covid-1 9 pandemic developed rapidly in 202 1, with a significant number of cases. Measures taken by various governments to contain the virus have affected economic activity. At this stage, the impact on our business and results has not been significant and based on our experience to date we expect this to remain the case. We will continue to follow the various government policies and advice and, in parallel, we will do our utmost to continue our operations in the best and safest way possible.
