### 1 - ORGANIZATION AND REGULATORY

Highwood Securities LLC (the "Company") was formed on August 13, 2019, as a New York limited liability company. The Company is a wholly owned subsidiary of Pine Hollow Holdings LLC ("PHH"). The liability of PHH for the losses, debts, and obligations of the Company is generally limited to its capital contributions. The Company is registered with the Securities and Exchange Commission ("SEC") as a broker-dealer and, as of Aril 29, 2021, is a member of the Financial Industry Regulatory Authority ("FINRA"). The firm specializes primarily in Mergers & Acquisitions and other advisory services as a Capital Acquisition Broker, as defined in applicable FINRA rules.

The Company does not claim an exemption from SEA Rule 15c3-3, under paragraph (k) of 17 C.F.R. § 240.15c3-3, and is relying on Footnote 74 of the SEC Release No. 34-70073 adoption amendments to 17 C.F.R § 240.17a-5 because the Company limits its business activities exclusively to engaging in activities permitted for Capital Acquisition Brokers ("CAB") as defined in FINRA's CAB rules and its approval, as of April 8, 2022, for membership in FINRA as a CAB.

## 2 - SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES

Basis of Presentation and Use of Estimates: The preparation of financial statements in conformity with generally accepted accounting principles in the United States of America ("GAAP") requires management to make estimates and assumptions that affect the reported amounts of asset and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of income and expenses during the reporting period. Actual results could differ from those estimates.

Income Taxes: As a single-member limited liability company, the Company has elected to be disregarded as a separate entity for U.S. income tax purposes. Accordingly, no provision for federal, state or local income taxes is required in the Company's financial statements for the year ended December 31, 2023.

Revenue Recognition: The Company adopted the Financial Accounting Standards Board ("FASB") Accounting Standards Update ("ASU") 2014-09, "Revenue from Contracts with Customers" (Topic 606), which supersedes nearly all existing revenue recognition guidance under accounting principles generally accepted in the United States of America ("GAAP"). The Company adopted ASU 2014-09 under the modified retrospective method, and there was no impact to the Company's opening stockholder's equity.

The Company provides advisory services on mergers and acquisitions. Revenue for advisory arrangements is generally recognized at the point in time that performance under the arrangement is completed (the closing date of the transaction) or the contract is cancelled. However, for certain contracts, revenue is recognized over time for advisory arrangements in which the performance obligations are simultaneously provided by the Company and consumed by the customer. In some circumstances, significant judgment is needed to determine the timing and measure of progress appropriate for revenue recognition under a specific contract. Retainers and other fees received from customers prior to recognizing revenue are reflected as contract liabilities. No contract liabilities existed at December 31, 2023.

The Company recognizes commission sharing income when a Finra member firm performs services to a customer, introduced to that member firm by the Company, and upon completion of its services to the customer, shares the commissions or fees earned with the Company.

Receivables: Receivables are due based on terms of the respective agreement. There were no receivables at December 31, 2023. Management regularly assesses the need for an allowance against receivables. When deemed necessary, the allowance is determined by a variety of factors, including the age of the receivables, current economic conditions, historical losses and other information management obtains regarding the financial condition of clients.

Events Occurring After Reporting Date: Management has evaluated subsequent events through the date which the financial statements were issued.

### 3 - RELATED PARTY COMMITMENTS

The Company occupies office space and uses equipment under an agreement with Highwood Advisors, Inc., the parent company of Pine Hollow Holdings LLC. The terms of the agreement provide for a monthly payment of \$85.00 toward utilities. For the Year Ending December 31, 2023, the total expense under this agreement amounted to \$1,020 which is included in Utilities in the Statement of Operations.

## 4 - OFF-BALANCE-SHEET RISK AND CONCENTRATION

The Company maintains its cash balances at a financial institution which is insured by the Federal Deposit Insurance Corporation ("FDIC") up to \$250,000. The Company's cash balance as of December 31, 2023 was \$14,896 and was fully covered by this insurance.

## 5 - NET CAPITAL REQUIREMENTS

The Company is subject to the SEC Uniform Net Capital Rule 15c3-1, which requires a brokerdealer to have at all times sufficient liquid assets to cover current indebtedness. In accordance with the rule, the Company is required to maintain defined minimum net capital at the great of either \$5,000 or 1/15 of aggregate indebtedness, as defined. At no time may the ratio of aggregate indebtedness to net capital exceed 15 to 1. At December 31, 2023, the Company had net capital of \$14,895, as defined, which exceeded its required net capital by \$9,895. The ratio of aggregate indebtedness to net capital was 0.0000 to 1.
