### Note 1 - Oroanization and Descriotion ot Business

WWF Securities, LLC (the "Company') is a brokerdealer registered with the United States Securities and Exchange Commission ("SEC") and is a member of the Financial lndustry Regulatory Authority ('FINRA). As a limited liability company, the member's liability is limited to its investment.

The Company was lounded in October of 2020, under the laws of the State of Delaware. The Company is a placement agent for private debt and equity securities and acts as a broker for the purchase and sale of private securities. The Company's customers are located throughout the United States.

The Company is owned 55% by WWF Holdings, lnc., 35% by Edward Fearon, and 10% by Escalating Dares, LLC.

### Nole 2 - Summarv of Sionilicant Accountino Policies

#### Basis of Presentation

The accompanying financial statements are presenled in conformity with accounting principles generally accepted in the United States of America ('U.S. GA,qP).

#### Revenue from Contracts with Customers

Revenue from contracts with customers includes placement and advisory services related to capital raising activities and transactions. The recognition and measurement of revenue is based on the assessmenl of individual contract terms. The agreements often contain nonrefundable retainer fees, and/or success lees, which may be fixed or represent a percentage of the value that the customer receives, il and when the transaction is completed ("success fees"). The Company has evaluated its nonrefundable retainer fees, to ensure they relate to the transler ol goods or services, as a distinct performance obligation, in exchange for the retainer.

#### Revenue Recoonition

The Company adopted ASU 2014-09, Revenue from Contracts wilh Customers, (codified in ASC 606). The Company recognizes revenue when services are transferred to clients. Revenue is recognized based on the amount ol consideration that management expects to receive in exchange for lhese services in accordance with the terms ol the contract with the client. To determine the amount and timing of revenue recognition, the Company must (1) identify the conlract with the client, (2) identify the performance obligations in the contract, (3) determine the transaction price, (4) allocate the transaction price to the performance obligations in the contract, and (5) recognize revenue when the Company satislies a performance obligation.

Signilicant judgment is required to determine whether performance obligations are satislied at a point in time or over time; how to allocate transaction prices where multiple performance obligations are identified; when to recognize revenue based on appropriate measure of the Company's progress under the contract; whether revenue should be presented gross or net of certain costs; and whether constraints on variable consideration should be applied due to uncertain tuture events. ln some circumstances, significant judgment is needed to determine the timing and measure of progress appropriate tor revenue recognition under a specilic contract. lf a promised good or service is not distinct, the Company combines that good or sorvice wilh other promised goods or services until it identifies a bundle ol goods or services that is distinct. ln some cases, this would result in the Company accounting for all lhe services promised in a contract as a single performance obligation and, if unfulfilled, amounts received from such contracts would be rellected as deferred revenues on the statement ol financial condition.

The Company recognizes certain retainer revenue from contracts with customers at the point in time in which specified deliverables are transferred to the Company's customers.

Success fee revenue for advisory arrangements is generally recognized at the point in time that perlormance under the agreement is completed (the closing date ol the transaction).

### Accounts Receivable and Allowance lor Credil Losses

Accounts receivable are non-interest-bearing uncollateralized obligalions receivable in accordance with the terms agreed upon with each customer. The Company regularly reviews its accounts receivables for any uncollectible amounls. The review for uncollectible amounts is based on an analysis ol the Company's collection experience, customer credit worthiness, and current economic treads.

### Advertisino

Advertising costs are expensed as incurred. The Company incurred \$49,007 in advertising expenses lor the year ended December 31, 2023.

### Cash

The Company maintains its bank account in a high credit quality financial institution. The balance at times may exceed federally insured limits.

### Prooertv and Eouioment

Property and equipment are recorded at cost. Depreciation is provided by use of the straight-line method over the estimated uselul lives ol the respective assets, which ranges lrom live to seven years.

### lncome Taxes

As a limited liability company, the tax consequences of the Company's operations all pass through to the Member. Thererore, the Company's income or loss is reported on the Member's partnership income tax return. As a result, no federal or state income taxes are included in the accompanying financial statements as they are the responsibility of the individual owners of the Member.

The Company has adopted the provision of FASB ASC 740-10 Accounting for Uncertainty in lncome Taxes. Under this provision, the Company is required to evaluate each of its tax positions to determine il they are more likely than not to be sustained if the taxing authority examines the respective position. A lax position includes an entity's status, including its status as a pass-through entity, and the decision not to lile a return. The Company has evaluated each ol its tax positions and has determined lhat no provision or liability for income taxes is necossary.

### Use of Estimales

The preparation ol financial statements in contormity with accounting principles generally accepted in the United States ol America requires management lo make estimates and assumptions that affect the reported amounts of assets, liabilities, rev6nues and oxpenses during the reporting period. Actual results could differ lrom those estimates.

### Note 3 -Related Partv Transactions

The Company and its Member occasionally pay expenses on behalf ol each other that are reimbursed at cost with no gain or loss. During the period of the report 2023, payments on behalf ol one another were \$1,740. The balance due lrom member on the accompanying statement ot linancial condition arose lrom such transactions.

The Company operates from office space provided by the owners of the Company's Member at no cost to the Company. Financial position and results ol operations could have differed lrom the amounts in the accompanying financial statements if these related party transactions did not exist.

#### Note 4 - Concentrations

During 2023, approximately 100% of investment banking revenues were earned from 1 customer(s). We had no net accounts receivable at December 31, 2023.

#### Note 5 - Net Capital Requirements

The Company is subject to the SEC Uniform Net Capital Rule (Rule 15c3-1) which requires the maintenance of a minimum net capital, as defined, equal to the greater of \$5,000 or one-fifteenth of aggregate indebtedness. At December 31, 2023, the Company had net capital of \$22,239 which exceeded its minimum required net capital of \$5,000 by \$17,298. At December 31, 2023, the Company's ratio of aggregate indebtedness to net capital was . 17 to 1.00.

#### Note 6 - Subsequent Events

The Company has evaluated all events and transactions that occurred after December 31, 2023 through March 22, 2024.

#### Note 7 - Contingencies

The Company is subject to litigation in the normal course of business. The Company has no litigation in progress as of December 31, 2023, as defendant.

#### Note 8 - Economic Risks

In March 2020, the World Health Organization (WHO) declared COVID-19 a global pandemic. This pandemic event has resulted in significant business disruption and uncertainty in both global and U.S. markets. While management believes the Company is in an appropriate position to sustain potential short-term effects of these world-wide events, the direct and long-term impact to the Company and its financial statements is undetermined at this time.

#### Note 9 - Commitments and Contingencies

The Company does not have any commitments, guarantees or contingencies that may result in a loss or future obligation, or that may be asserted against the firm at a future date.
