### Basis for Opinion

This financial statement is the responsibility of the Company's management. Our responsibility is to express an opinion on the Company's financial statement based on our audit. We are a public accounting firm registered with the Public Company Accounting Oversight Board (United States) (PCAOB) and are required to be independent with respect to the Company in accordance with the U.S. federal securities laws and the applicable rules and regulations of the Securities and Exchange Commission and the PCAOB.

We conducted our audit in accordance with the standards of the PCAOB. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statement is free of material misstatement, whether due to error or fraud. Our audit included performing procedures to assess the risks of material misstatement of the financial statement, whether due to error or fraud, and performing procedures that respond to those risks. #### 1. Organization

Bamboo Securities, LLC (the "Company"), was incorporated in Delaware on August 16, 2021. On January 12, 2024, the Company received approval to become a broker-dealer and as such is registered as a broker-dealer with the Securities and Exchange Commission ("SEC") and is a member of the Financial Industry Regulatory Authority Inc. ("FINRA") and the Securities Investor Protection Corporation ("SIPC"). The Company is a wholly owned subsidiary of Bamboo Global Inc. (the "Parent").

The Company is an introducing broker-dealer and it clears all transactions on a fully-disclosed basis through its clearing firm and does not hold customer funds or securities. Accordingly, the Company claims exemption from Rule 15c3-3 of the Securities Exchange Act of 1934.

The Company is approved to engage in the following types of business:

- 1) Broker or dealer retailing corporate equity securities over-the-counter;
- 2) Non-exchange member arranging for transactions in listed securities by exchange member
- 3) Other The Firm operates an on-line trading / electronic trading platform that allows retail customers to trade listed and over-the-counter equity securities

### 2. Summary of Significant Accounting Policies

### Basis of Presentation

The Company's financial statements have been prepared in accordance with accounting principles generally accepted in the United States of America ("US GAAP").

#### Cash and cash equivalents

The Company considers all demand and time deposits and all highly liquid investments with an original maturity of three months or less to be cash equivalents.

#### Use of Estimates

The preparation of the financial statements in conformity with US GAAP requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results could vary from the estimates that were used.

#### Revenue Recognition

The Company has adopted Financial Accounting Standards Board ("FASB") Accounting Standards Codification ("ASC") ASC Topic 606, Revenue from Contracts with Customers ("ASC Topic 606"). The revenue recognition guidance requires that an entity recognize revenue to depict the transfer of promised goods or services to customers in an amount that reflects the consideration to which the entity expects to be entitled in exchange for those goods or services. The guidance requires an entity to follow a five-step model to (a) identify the contract(s) with a customer, (b) identify the performance obligations in the contract, (c) determine the transaction price, (d) allocate the transaction price to the performance obligations in the contract, and (e) recognize revenue when (or as) the entity satisfies a performance obligation. The adoption of this standard had no effect on the Company's financial statements.

The Company had no contract assets or liabilities at January 1, 2024 and December 31, 2024.

### 2. Summary of Significant Accounting Policies (continued)

### Income Taxes

The Company is a single member limited liability company, and is treated as a disregarded entity for federal income tax reporting purposes. The Internal Revenue Code ("IRC") provides that any income or loss is passed through to the ultimate beneficial individual member for federal, state and certain local income taxes. Accordingly, the Company has not provided for income tax provision.

At December 31, 2024, management has determined that the Company had no uncertain tax positions that would require financial statement recognition. This determination will always be subject to ongoing reevaluation as facts and circumstances may require.

### Single Reportable Segment

The Company is engaged in a single line of business as a securities broker-dealer. The Company has identified its CEO as the chief operating decision maker ("CODM"), who uses net income to evaluate the results of the business, predominantly in the forecasting process, to manage the Company. Additionally, the CODM uses excess net capital which is not a measure of profit and loss, to make operational decisions while maintaining capital adequacy, such as whether to reinvest profits or pay dividends. The Company's operations constitute a single operating segment and therefore, a single reportable segment, because the CODM manages the business activities using information of the Company as a whole. The accounting policies used to measure the profit and loss of the segment are the same as those described in the summary of significant accounting policies.

### Leases

The Company recognizes and measures its lease in accordance with FASB ASC 842, Leases. The Company is a lessee in one noncancelable operating lease, for office space. This is explained further in Note 4. The lease liability for this lease is initially and subsequently recognized based on the present value of its future lease payments. The discount rate is the implicit rate if it is readily determinable or otherwise the Company uses its incremental borrowing rate. The implicit rate of the Company's lease is not readily determinable and accordingly, the Company used its incremental borrowing rate based on the information available at the commencement date of the lease. The Company's incremental borrowing rate for a lease is the rate of interest it would have to pay on a collateralized basis to borrow an amount equal to the lease payments under similar terms and in a similar economic environment. The ROU asset is subsequently measured throughout the lease term at the amount of the remeasured lease liability (i.e., present value of the remaining lease payments), plus unamortized initial direct costs, plus (minus) any prepaid (accrued) lease payments, less the unamortized balance of lease incentives received, and any impairment recognized. Lease cost for lease payments is recognized on a straight-line basis over the lease term.

#### 3. Related-party transactions

During the year ended December 31, 2024, the Parent paid \$287,532 for various expenses incurred by the Company including compensation and technology and data fees recorded on the Statement of Operations. The Parent forgave \$218,901 of the related payable for these expenses which converted into capital contribution for the Company. The Company has a payable due to the Parent for \$68,632 as of December 31, 2024.

The Company is a newly registered broker dealer and has incurred losses for the year. Management has evaluated the conditions, and to alleviate doubt about the Company's ability to continue as a going concern, the Parent will continue to provide financial support to the Company, including converting the Company's related payable as capital contribution.

#### 4. l ease

The Company entered an operating lease that commenced on March 1, 2022 and will terminate on February 28, 2025. The Parent made all lease payments for the Company through December 31, 2023. Beginning January 1, 2024, the Company recorded the lease on its books at an incremental borrowing rate of 8.5%.

At December 31, 2024, the amounts reported under right of use asset and lease liability on the Statement of Financial Condition was \$2,265 and \$2,271, respectively.

On March 29, 2024, the Company entered into a month-to-month Office Survey Agreement effective April 1, 2024. As of December 31, 2024, the Company does not have a liability from this agreement.

#### 5. Net Capital Requirements

The Company, as a member of FINRA, is subject to the Securities and Exchange Commission Uniform Net Capital Rule 15c3-1. This Rule requires the maintenance of minimum net capital and that the ratio of aggregate indebtedness as defined to net capital, shall not exceed 8 to 1 in the first twelve months of operations. The rule also provides that equity capital may not be withdrawn or cash dividends paid if the resulting net capital ratio would exceed 10 to 1. At December 31, 2024, the Company's net capital was \$187,973 which was \$172,874 in excess of its computed minimum net capital requirement of \$15,099.

#### Concentration of Credit Risk 6.

The Company maintains its cash balances in a bank account at a financial institution, and at times the balance may exceed the federally insured limit. The Company is subject to credit risk to the extent any financial institution with which it conducts business is unable to fulfill contractual obligations on its behalf.

#### 7. Employee Savings Plan

The Company sponsors a 401K savings plan in accordance with IRS regulations. All eligible employees, as defined, may elect to contribute to the Company matches 100% of the salary deferrals up to the first 4% of eligible compensation.

#### 8. Subsequent Events

The Company evaluated subsequent events or transactions that occurred from January 1, 2025 through the date these financial statements were issued. The Company did not have any significant subsequent events to report.
